The highest governing body of NIPA is the General Meeting of Members, which must be held at least one time in five years.
In certain circumstances the Extraordinary General Meeting can be called. Extraordinary Meeting can be called by the decision of the Presidents Council or by request of 10% of Full Members or Inspection Commission. The Meeting is valid if more than 50% of Full Members took part in it. Each Full Member has one voice at the Meeting.
The following is in exclusive competency of the General Meeting:
- Acceptance of Bylaws or amendments to it;
- Making a decision on reorganization or dissolution of NIPA;
- Exclusion from members of NIPA;
- Making a decision on some other questions.The Meeting elects the following officials of NIPA by direct voting:
- The President of NIPA;
- Members of the Presidents Council;
- Members of Inspection Commission.The agenda of the General Meeting is approved by the Presidents Council. Each next Presidents Council must have at least 25% of new Council Members. All members of governing and inspection bodies can be reelected for unlimited number of terms.
Presidents Council is collective governing body of NIPA. It manages activities of the organisation in intervals between General Meetings of Members.
Authority of the Presidents Council includes, but is not limited to:
- Election of Vice-Presidents from its members;
- Accepting of the Code of Ethics, Membership Constitution and of other regulating acts of NIPA;
- Nominates the director;
- Approves the budgets of revenues and expenditures of NIPA and approves the report on their execution;
- Makes the decision on admitting of new members;
- Sets the amount of membership fees;
- Makes the decision on signing the agreements on cooperation with other professional organisations;
- Makes decisions on other questions.To reach objectives and goals of the organisation the Presidents Board of NIPA creates Committees and Commissions.
The President of NIPA is the highest executive officer of the organisation and within the bounds of his authority:
- Chairs the General Meeting of Members and the Presidents Council;
- Represents and protects the rights of NIPA in other organisations and mass media;
- Signs documents that certify membership in NIPA;
- Accomplishes other functions.Inspector of NIPA exercises the control under financial and economical activities of NIPA. Inspector may not be member of governing or executive bodies of NIPA at the same time.
Director of NIPA:
- Is accountable to the General Meeting and to the Presidents Council;
- Accomplishes current management of NIPA;
- Employs and dismisses the staff;
- Accomplishes other functions.
